Agent service agreement

Version 2026-10-draft. This agreement is between Brown Innovation Group LLC ("we", "us") and the insurance agent who signs up ("you").

1. What we provide

Software that gives you a branded web page, a coverage calculator, a quote request form, automatic emails to you and to people who submit the form, a lead dashboard, online call booking with calendar invites and reminder emails, and (on the Pro plan) an AI chat assistant. We provide software only. We are not an insurance agency, carrier, or adviser, and we do not sell, solicit, or negotiate insurance.

2. Your responsibilities

You represent that you hold a current insurance license in each state where you use the service, and you will keep it current. You are solely responsible for: your license and appointments; the wording on your page and in your messages, including compliance with carrier and state insurance department advertising rules; obtaining and honoring consent to contact people by phone, text, and email (including TCPA and opt-out requirements); and every insurance conversation, quote, and sale with people you contact.

3. The calculator and the AI assistant

The coverage estimate and the AI assistant provide general information only. They are not quotes, advice, or recommendations, and may contain errors. You agree to review conversation transcripts in your dashboard and to tell us promptly if you see anything that should be corrected. We may change or remove features at any time.

4. Your leads and data

People who submit your form or chat are your leads. You own that information, and we process it on your behalf to provide the service. You will not enter Social Security numbers, payment card numbers, or health details into the dashboard. You may export your data at any time, and after you cancel we will delete or return it on request, subject to legal retention requirements and a reasonable backup period.

5. Fees and cancellation

You will pay the subscription fee for your plan, billed through Stripe. [Insert fee terms, any setup fee, trial, and refund policy.] You may cancel at any time from your dashboard. Your page turns off when your subscription ends or a payment fails and is not corrected. Our fees are flat software fees. We do not take a share of commissions or charge per policy sold.

6. Acceptable use

You will not use the service for anything unlawful, misleading, or harassing; send unsolicited messages; misrepresent your license, carriers, or results; or attempt to interfere with the service or access other agents' data.

7. No guarantee of results

We do not guarantee any number of leads, sales, or income. The service is provided "as is," and may be interrupted or contain errors.

8. Liability

To the fullest extent the law allows, we are not liable for indirect or consequential damages or for lost profits, and our total liability for any claim is limited to the fees you paid us in the three months before the claim arose. [Attorney to confirm.]

9. Termination and changes

Either of us may end this agreement at any time. We may suspend a page that violates this agreement or applicable law. We may update this agreement with notice by email; continuing to use the service means you accept the update.
